TSC – Term Service Contract

Suitable for any service-based contract between a Client and a Contractor. It is intended for use across a range of sectors, including facilities management, maintenance, operations, and other long-term service arrangements.

The TSC is part of the NEC4 suite of contracts and is widely used for ongoing service delivery, such as building maintenance, asset management, and other continuous or scheduled services.

Key Parties in the NEC4 TSC Contract:

Client

This is the organisation engaging the Contractor to provide ongoing services.

Service Manager

This is the Client’s appointed representative. The Service Manager acts as the primary point of contact and manages the contract on behalf of the Client.

Contractor

The Contractor provides the required services as defined in the Service Information and any associated Task Orders.

Roles and Responsibilities

Role

Responsibilities / Key Activities

Contractor

- Raises Early Warnings related to delay, cost, or service performance

- Raises Compensation Events

- Submits quotations upon instruction by the Service Manager

- Responds to Task Orders issued by the Service Manager

- Tags Task Orders against relevant Compensation Events, where applicable

- Submits assessments for final payment amounts

- Requests changes to the Service Information (if needed)- Submits updated programmes or work schedules

- Communicates internally with their team for task execution

- Issues late notices (e.g. late access or information)

- Requests extensions to Task durations or service periods

Service Manager

- Issues the Term Service Contract and Task Orders

- Raises Early Warnings for potential impact on service delivery

- Instructs the Contractor to provide quotations

- Reviews and accepts/rejects Contractor’s design (if applicable)- Accepts or rejects quotations submitted

- Notifies the Contractor of Compensation Events

- Assesses or confirms the assessment of Compensation Events

- Issues changes to Task Orders

- Reviews the completion of tasks

- Certifies payments, including final payment on completion or termination
